Registration of physical persons and legal entities in Baku assumes itself concepts of physical person and the legal entity.

 Legal entity – is firm which conducts economic activity, has the rights and duties, also liable for its obligations to the extent of firm property and the authorized capital. The legal entity is obliged to keep accounting and to hand over reports in the service determined by the law. Both commercial and noncommercial organizations can be legal entities.

 Physical person – is the person, which is carrying out activity and liable for its obligations to the extent of its property. The physical person is not obliged to keep accounting.

  • Establishment of the legal entity with local investments if the legal entity acts as the founder;

 In case of establishing of the legal entity with local investments if the physical person acts as the founder, you will need to provide the following documents:

  • Copy(copies) of the identity card(s) of the founder(s) of the organization$
  • Notarized form of the registration certificate or certificate of the legal address of the organization;

Note: if the legal address of the organization not addressed to the founder (or one of founders), in that case, the notarized statement for not objection (the application form is provided by us) on behalf of that to whom belongs the chosen legal address, is applied to these documents.

  • If on execution of powers of the director, the founder(s) appoint the other person, copy of the identity card of this person;
  • The power of attorney on the authorized person concerning maintaining of all actions, appeals to state agencies and signings of all documents necessary for registration, certified by the notary (the form of the power of attorney is provide by us).

In case of establishing of the legal entity with local investments if the legal entity acts as the founder, you will need to provide the following documents:

  • The charter of the legal entity – the founder, certified by the notary;
  • Registration certificate of the legal entity – the founder, certified by the notary;
  • Decision on establishing of the legal entity;
  • The power of attorney on the authorized person concerning maintaining of all actions, appeals to state agencies and signings of all documents necessary for registration;
  • Notarized form of the registration certificate or certificate of the legal address of the organization;

In case of establishing of the legal entity with foreign investments if the legal entity acts as the founder, you will need to provide the following documents:

  • The charter of the legal entity of head enterprise certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Registration certificate of the legal entity – the founder, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Decision on establishing of the legal entity certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • The power of attorney on the authorized person concerning maintaining of all actions, appeals to state agencies and signings of all documents necessary for registration, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;

 In case of establishing of the legal entity with foreign investments if the physical person acts as the founder, you will need to provide the following documents:

  • The document confirm of the fact that the person is a founder of any commercial legal entity in the homeland or is an individual entrepreneur (most likely the name of the person has to be entered in the corresponding register) certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Copy of the passport (civil and foreign);
  • The power of attorney on the authorized person concerning maintaining of all actions, appeals to state agencies and signings of all documents necessary for registration, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;

In case of establishing of the representative office of legal entity, you will need to provide the following documents: 

  • The charter of the legal entity of head enterprise certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Registration certificate of the legal entity – the founder, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Decision on establishing of the representative office certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • The power of attorney on the authorized person concerning maintaining of all actions, appeals to state agencies and signings of all documents necessary for registration, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;

In case of establishing of the branch of legal entity, you will need to provide the following documents:

  • The charter of the legal entity of head enterprise certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Registration certificate of the legal entity – the founder, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • Decision on establishing of the branch certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;
  • The power of attorney on the authorized person concerning maintaining of all actions, appeals to state agencies and signings of all documents necessary for registration, certified by the notary or legalized in Embassy of Azerbaijan in the respective country *;

*In the CIS countries there is no need to legalize documents, as between our countries signed contract exempting from such need; as for other countries, if the country has joined the Hague convention (as Azerbaijan has joined the Hague convention on cancellation of consular legalization since 02/03/2005), consular legalization of documents won’t be required and documents will be legalized by affixing of an apostille.
